    Stuart advises on a wide range of business transactions, often of a cross-border nature, including M&A, joint ventures, corporate restructurings, debt financings and infrastructure projects.

    Dual qualified, Stuart has practiced with leading international firms in both London and New York. Additionally, Stuart has acquired an in-depth knowledge of the communications/technology sectors having spent six years with the MCI group as their General Counsel in Europe and Asia and four years at Viatel as Head of Legal and a senior member of the executive management team.


    • Advised on and negotiated proposed acquisition of French/German listed telecommunications operators (aggregate sale value of $3bn), including advising as to registration rights/dual listing issues relating to proposed use of US stock as consideration.

    • Acted for US investment bank on proposed sale of multinational telecommunications operator by way of auction process.

    • Advised on the purchase and sale of numerous private telecommunications companies throughout Europe. 

    • Acted for both target company and institutional investor shareholders in proposed sale of multinational telecommunications operator including coordination of advice in nine jurisdictions. 

    • Acted for multinational telecommunications operator on separation, by way of asset/business sale, of company's retail and network activities. 

    • Acted for UK listed company on the sale of an electronic alarm business.

    • Acted for public telecommunications operator with respect to the establishment of a joint venture for the development and marketing of interactive information telephones.

    • Advised multinational corporation on a 'going-private' transaction (implemented by way of reverse stock split) to terminate the company's status as a SEC registrant.

    • Acted for US corporation on the acquisition of UK retail book business.

    • Acted for Danish multinational on its sale of wind energy projects.

    • Advising Boards on numerous corporate governance issues including as to obligations as a US 'foreign private issuer'.

    Corporate Restructuring/Financing

    • Advised on various corporate restructurings, including the restructuring of the MCI WorldCom EMEA operations post the Chapter 11 bankruptcy filing of the US parent.

    • Advised on and coordinated restructuring (across multiple jurisdictions) of multinational health care corporation in connection with an IPO on the New York Stock Exchange.

    • Advised on a partnership restructuring (under New York law) and loan financing affecting a number of California wind energy projects.

    • Acted for multinational telecommunications operator on an intra-group debt financing in aggregate value of approximately €300m, involving the coordination of advice in eight jurisdictions and a related corporate restructuring in order to address potential shareholder tax liabilities.

    • Acted for multinational telecommunications operator in connection with debt financings in aggregate value of approximately $220m. The financings involved the grant of security in six European jurisdictions.

    • General advice as to potential corporate/director liability issues in connection with various European restructurings.

    Infrastructure Projects

    • Negotiated sale of one half of the network assets of multinational telecommunications operator along a network route of approximately 5,000km; the sale involved the negotiation of an ongoing operational agreement allowing the joint operation of pan-European network infrastructure and the acquisition of metro telecommunications networks in 8 European cities.

    • Advised on and negotiated separate joint ventures to operate fixed-line telephony businesses in Singapore and Italy.

    • Advised multinational telecommunications company on joint venture participation in 'Southern Cross' cable system linking US and Australasia.

    • Advised on operating and landing agreements in connection with the 'Gemini' transatlantic cable system.

    • Negotiated rights of way/wayleaves with both private and public landowners, including the UK Crown Estate.

    • Advised in connection with French legal proceedings relating to alleged overcharging for right of way fees; amount in dispute exceeded  €13m.

    • Support in relation to roll-out of pan-European, national backbone and metro telecommunications networks including negotiation of joint construction agreements.

    • Served as a Board Director of a construction company involved in the construction of infrastructure networks throughout Europe and Asia Pacific.


    • Negotiated numerous high-value bespoke customer contracts for telecommunication clients including cross-border dark fibre sales, IRU agreements and capacity sale agreements.

    • Advised on numerous high value supply contracts in respect of telecommunications network equipment.

    • Drafted standard terms and conditions of business for a number of telecommunications companies/data centre companies.

    • Advised in connection with a number of contentious proceedings, including an arbitration claim in aggregate value of approximately €5m in respect of alleged non-delivery by multinational telecommunications operator of network/data services.

    • Drafted and negotiated contracts for telecommunications operator to be exclusive broadband provider for a number of leading UK sports clubs and organizations.

    • Reviewed worldwide distribution arrangements of sporting/leisure goods conglomerate.

    • Seconded to procurement division of listed UK communications operator during which time redrafted the company's standard terms and conditions of procurement.

    Previously in private practice Stuart has worked for major international law firms in both London and New York. He also spent nearly ten years in general counsel roles for multinationals in the telecommunications industry; during this time Stuart occupied a number of senior director roles including on the Board of the MCI WorldCom group's joint venture with the Suez group in Belgium.

    Stuart lives in West London with his wife and two small children. In any free time he has, he enjoys most sport in particular playing golf and tennis and occasionally watching Aberdeen Football Club.
