    Jim's practice is focused on corporate and business law. He regularly represents both public and private companies in the areas of mergers and acquisitions, corporate governance, joint ventures, private equity investments, financings and general corporate work.

    • Jim represented the shareholders of Applied Physical Sciences Corp., a privately held company that offers research, development, engineering and prototyping services to government and commercial customers in the areas of acoustics, signal processing, marine hydrodynamics and electromagnetics, in the sale of Applied Physical Sciences Corp. to General Dynamics (NYSE).

    • Jim represented Gerber Scientific, Inc (NYSE) as its Connecticut counsel on the sale of Gerber to a subsidiary of Vector Capital Corporation for an aggregate purchase price of approximately $281.8 million.

    • Jim represented Aetna Inc. (NYSE) in its acquisition of Horizon Behavioral Services, LLC, a provider of Employee Assistance Programs.

    • Jim represented Overhaul Support Services, LLC, a privately held company engaged in the overhaul of rotary-winged aircraft, in the sale of substantially all of its assets to TIGHITCO Inc., a privately owned company.

    • Jim represented Gerber Scientific, Inc. (NYSE) in the acquisition of Data Technology, Inc., a manufacturer of automated cutting hardware for the packaging and graphics industries.

    • Jim represented the shareholders of Sterling Machine Co., Inc., a privately held company that manufactures precision metallic parts for the aerospace industry, in the sale of Sterling Machine Co., Inc. and related properties to Senior plc, a UK based company (NASDAQ).

    • Jim negotiated the terms of the management equity participation and the terms of the CEO’s employment in the $1.2 billion purchase of Dresser-Rand Company, a business unit of Ingersoll-Rand Company Limited (NYSE), by an affiliate of First Reserve Corporation.

    • Jim represented CUNO Incorporated (NASDAQ) in the acquisition of WTC Industries, Inc. a publicly held company. Jim also represented CUNO in connection with the credit facility obtained from a syndicate of banks to fund the acquisition.

    • Jim represented Travelers Property Casualty Corporation (NYSE), as its Connecticut counsel, in connection with its merger with The St. Paul Companies.

    • Jim represented General Electric Company (NYSE) in the purchase of all of the outstanding shares of International Fiber Systems, Inc.

    • Jim represented the shareholder of Panel Prints, Inc., a privately held company that designs, manufactures and prints large format specialty packaging and point of purchase displays for the consumer products, cosmetics, beverage and personal care markets, in the sale of Panel Prints, Inc. and related businesses to Keystone Printed Specialties Co. LLC.

    • Jim represented Truebro, Inc., a privately held company that designs, manufactures and markets under sink protection devices, in the sale of certain of its assets to Watertite Products, Inc., a privately held company.

    • Jim represented Connecticut Tool & Mfg. Co., Inc., a privately held company that custom designs and manufactures high quality component parts for the aerospace industry, in its sale of substantially all of its assets to Whitcraft LLC, a privately held manufacturing company.

    • Jim represented Travelers Property Casualty Corporation (NYSE), as its Connecticut counsel, in connection with its initial public offering and its spinoff from Citigroup.

    • Jim represented Aetna Inc. (NYSE), as its Connecticut counsel, in connection with the spinoff of its healthcare business to its shareholders and the sale of its financial services business to ING.

    Jim teaches a course at the University of Connecticut School of Law on business acquisitions.

    He is the former Chairman of the Business Law Section of the Connecticut Bar Association. Jim currently serves on the Executive Committee of that Section. He also served as the Co-Chairman of the Connecticut Bar Association task force which drafted the Connecticut Business Corporation Act.

    Jim is a member of the American Bar Association Committee on Mergers & Acquisitions, and the American Bar Association Corporate Laws Committee.

    He serves on the advisory committee of the Connecticut chapter of the National Association of Corporate Directors.

    Jim served on the Charter Revision Commission of the Town of Canton, Connecticut.
