    Amber is an associate in the New York office and is a member of the Insurance and Reinsurance Department. She maintains a general corporate practice with an emphasis on insurance regulatory, transactional and reinsurance matters.
    • Represents and advises companies on all aspects of mergers and acquisitions, including due diligence review, drafting of definitive documents and related regulatory matters.

    • Advises companies regarding formation, governance and other general corporate matters.

    • Assisted New Jersey and Arizona domestic insurers in increasing their stated capital through amending their charters to meet regulatory requirements.

    • Represented Industrial Alliance Insurance and Financial Services Inc. in its acquisition through merger of American-Amicable Holding, Inc. and its life insurance subsidiaries for cash merger consideration of $145 million. 

    • Represented the borrower in a $225 million revolving credit facility with a syndicate of banks.

    • Served as underwriter's counsel to the Dormitory Authority of the State of New York in a personal income tax revenue bond issuance aggregating over $590 million, which included tax-exempt, federally taxable and "Build America Bond" components.

    • Represented the buyer in a $45 million stock purchase of a scientific research company.

    • Represented the investor in a preferred share series expansion.

    Before Edwards Wildman

    During law school, Amber participated in the Juvenile Justice Clinic at Georgetown University Law Center where she represented clients in D.C. Superior Court and assisted youth with placement in post-adjudication “wrap-around” services in the community. During her tenure, she also completed an externship with the Securities and Exchange Commission in Washington D.C. where she worked in the Enforcement Division. In addition, she spent a summer working for a large law firm in Santiago, Chile where she worked on various corporate transaction matters including analysis of transfer tax issues.

    Prior to law school, Amber earned her B.B.A. in Accounting and obtained her CPA license. While in accounting, she worked for Deloitte & Touche as a senior auditor for a wide range of clients. Subsequent to Deloitte, she worked as Finance Manager for a retailer where she focused on SEC and GAAP compliance.
