John Emmanuel is a member of the Firm's Board of Directors. He practices insurance regulatory and general corporate law. He represents clients from all sectors of the financial services industry and has represented clients with respect to administrative matters before state insurance departments. John represents insurance carriers and groups, surplus lines insurers, reinsurers, captives and risk retention and risk purchasing groups on regulatory and compliance issues. He also represents insurance agents, brokers, surplus lines brokers, reinsurance intermediaries and third party administrators with respect to compliance and licensing matters. John is Co-Editor of the Locke Lord Excess and Surplus Lines Law Manual.

John advises on regulatory and compliance matters, including:

  • Formation, mergers and acquisitions of insurance companies and insurance agencies
  • Securing insurance licenses and license amendments in all U.S. jurisdictions
  • Formation and eligibility approvals to transact business for surplus lines insurance company clients, both U.S. and alien, and provide advice on compliance with U.S. surplus lines placement requirements and restrictions, including direct procurement
  • Holding company act requirements, including affiliate transactions, annual registration filings and payment of dividends
  • Restructurings
  • Advertising, producer agreements and compensation, and rate and forms filings
  • Advice regarding transaction of reinsurance in the United States and credit for reinsurance requirements, including accredited, certified and reciprocal reinsurer status
  • Market conduct examination issues and investigations
  • Redomestication name changes and acquisition notice requirements
  • Rate and form filing approvals for property and casualty and life and health products in all U.S. jurisdictions
  • Development of Privacy and Anti-Money Laundering compliance programs
  • Sale by financial institutions of insurance and annuity products
  • Development and implementation of bank insurance sales programs and regarding lender-placed insurance
  • Joint ventures between financial institution and insurance agency for the sale of insurance products through the bank
  • Advice regarding joint underwriting associations and aviation risks
